GENERAL CONDITIONS OF SALE

 WITHIN THE LIMIT OF STOCKS AVAILABLE


The customer asserts that he is aware of the following conditions before placing any order. By choosing to buy products online, he accepts the terms stated hereafter.

Any order placed must not be for less than 700 Euros. Except for special promotions or old vintages, and according to tradition, units of sale represent 12 x 0.75 l.

The current sponsoring offer runs until 31/12/2003 and applies solely within the limit of stocks available. As a result, this offer may stop at any time and cannot be the subject for any complaint.

Payment is made when ordering. No merchandise will be dispatched until full payment for the order has been made. Payments can be made by cheque in Euros (European Union only) or preferably by Swift transfer. On receiving your order, we will send you an order confirmation. Your transfer must be made within seven days of ordering for the delivery to be authorised. We cannot be held responsible for delivery times and transfer costs invoiced by your bank when we receive your payment (all bank charges must paid by the customer).

Our bank details will be specified when we send you confirmation of your order. If your payment does not reach us within seven days, your order will be rightfully cancelled. We reserve ownership of the merchandise, wherever it may be, until we receive full payment.


PRICES & AVAILABILE STOCK

All prices indicated on the site are quoted ex-cellars BORDEAUX, per 0.75 l bottle, excluding VAT, in Euros, including a reduction given for cash payment, payable in one amount directly to the same account.

Our prices do not include local taxes which must be paid in the country of delivery. Certain vintages are available in very small quantities and are extremely sought-after.

This is why we are unable to guarantee the availability of all the products offered on the site.


VALIDITY OF AN ORDER

As of the last acceptance “click”, the order is deemed as irrevocable and cannot be questioned. A confirmation E-mail will be sent back to the customer once the order placed has been recorded.

This final “click” is considered to have the same value as a handwritten signature as noted in article 1341 of the French Commercial Law. The order will be validated after confirmation of receipt of payment by our bank.

ASCLEPIADE & ASSOCIATES cannot accept orders from countries which prohibit the direct dispatch of wines and spirits.


CONDITIONS OF SALE FOR “Primeur” wines

Our prices are quoted per bottle (0.75 l) and per unity of sale (12 x 0.75 l), except in the case of an indication to the contrary (please ask for more information about other bottle sizes). As soon as we receive your order, accompanied by your payment, we will send you a pro-forma invoice in Euros which is represents your Ownership Title. After organising the availability of these wines at the estate either for the end of 2004 or beginning of 2005 for 2002 “primeur” wines, we will send you your definitive invoice, upon which will be noted transport costs and any taxes calculated at current rates. Other conditions, including payment, remain identical.


DELIVERY & DISPATCH COSTS

For France and other countries, merchandise is dispatched with carriage paid. Costs will be calculated automatically and will be stipulated online during the confirmation of your order. Please contact us if you require more information. Products ordered will be delivered within a standard period of time. It is also possible, on request, to organise an express delivery for your merchandise. You will find here below delivery times, as of validation of your payment:

- Standard delivery time outside Europe:
approximately 2/3 weeks

- Express delivery times:
America and Asia: 8 to 10 working days
Eastern Europe: 8 to10 working days
Europe: 3 working days
France: 72 hours
These delivery times are indicative and any delivery delays cannot justify cancellation of any order or give grounds for damages. In any case, delivery can only be carried out within the set period of time if the buyer has fulfilled his obligations with regards to the seller, whatever the cause may be.

We insure the merchandise until it reaches its point of delivery, but we cannot, however, be held responsible for any problems or delivery delays beyond our control (transport difficulties, customs control, absence, errors in the addressee’s name or address, unavailability of certain stock, weather conditions …).

The buyer’s responsibilities:
.to check the contents of each package when the merchandise is delivered , before taking possession. The buyer must make the necessary observations in the event of damage or missing merchandise.
.in the event any damage, to note on the delivery slip given by the delivery firm any observations and to ask for a copy of this form. The buyer must immediately make all the necessary reserves by sending a registered letter with an acknowledgement of receipt slip to the delivery firm within three days following receipt of the merchandise, in order to maintain his rights.
.to inform us within 7 days following the date of reception of the merchandise.


PROTECTION OF MINORS TO PREVENT UNDER AGE ALCOHOL CONSUMPTION

In virtue of ruling n° 59-107 of 7th January 1959 which stipulates “the prohibition of the sale of alcohol to minors of less than sixteen years of age” and the law n° 74.631 of 5th July 1974, the customer must confirm, when filling in the order form, that he/she is over sixteen years of age when placing his/her order. Alcohol abuse represents a danger to health. Consume in moderation.


PENALTIES, JURISDICTION, MISCELLANEOUS

No extension of due date can be accorded without our prior and express consent. Collections by litigation will lead to an inclusive payment of 15% of the order, without prejudice to interests for late payment and damages. Any sum not paid at the due date will give rise rightfully and without injunction to the payment of default interest paid at the legal rate of interest increased by 50%. We reserve the right to take back merchandise which has not been paid for, within eight days of the delivery date.

Within seven working days as of the day following the date of delivery, the customer has the right to notify the seller that he renounces the totality of his purchase. In this event, the customer undertakes to return all the merchandise at his own cost and the seller must reimburse the total sum of the purchase (article L 121.16 of the Consumer Code). This is known as a period of “regret” and does not concern the quality of the product. The buyer can use this clause on the condition that the product is returned in its original packaging, in its unopened case of origin.

In the event of contention or dispute, only the Commercial Tribunal in Bordeaux will be authorised to judge the affair, also in the event of a plurality of respondents or an appeal for guarantee.

Information which concerns you is sent to us. We may pass this information on to third parties. If you wish to prevent this, please write to us. You have the right to access, modify or cancel any information which concerns you (article 34 of the “Data Protection Act”). To exercise this right, please contact us.

All our products are wines of origin, except where an indication to the contrary is noted, which are Château, Domain or estate bottled. The wines we sell have no taste defects, are merchantable and adhere to legal prescriptions.

We are unable to provide any guarantee as concerns the quality of the wines we sell because of the very nature of old vintages and the evolutions they undergo in their bottles.
